PART II — CLIENTS RIGHTS & BEAT PURCHASE POLICY
This Clients Rights & Beat Purchase Policy applies to beats and other musical products purchased, licensed, downloaded, or otherwise obtained from BeatsbyO.
By purchasing, downloading, licensing, or using a BeatsbyO beat, the client acknowledges that they have read, understood, and agreed to the terms below, together with any specific license terms presented at the time of purchase.
1. Beat Ownership & Creation
All beats sold or licensed through BeatsbyO are original productions created and/or owned by BeatsbyO, unless explicitly stated otherwise.
Purchasing a beat does not automatically transfer ownership or copyright of the underlying beat to the client.
The client receives only the rights specifically granted by the applicable license or purchase agreement.
2. Client’s Right to Use the Beat
After purchasing or licensing a beat, the client may use the beat according to the applicable license associated with that purchase.
The client may create and release a song using the beat, provided that the client complies with the applicable license and all terms contained in this policy.
Different products or licenses may provide different usage rights. The client is responsible for reviewing the applicable license before commercially releasing a song.
3. Mandatory BeatsbyO Credit
Whenever a client releases a song using a BeatsbyO beat, the client must credit the producer as “BeatsbyO.”
The credit should be included wherever producer/song credits are provided and, where reasonably possible, in relevant release metadata, descriptions, promotional materials, and other applicable platforms.
Acceptable examples include:
Produced by BeatsbyO
or
Prod. by BeatsbyO
The client may not intentionally remove, replace, hide, or misrepresent BeatsbyO’s producer credit.
4. Mandatory 12% Royalty on All Revenue Generated by the Release
For every song, recording, or other musical release that uses a beat produced by BeatsbyO, the client agrees that BeatsbyO is entitled to 12% of all gross revenue generated by that release.
There is no maximum limit or cap on the amount of royalties payable to BeatsbyO.
As the release generates additional revenue, BeatsbyO’s 12% royalty entitlement will continue to apply to that additional revenue.
For example:
-
If a release generates €1,000 in total gross revenue, BeatsbyO’s 12% share is €120.
-
If the same release later generates €100,000 in total gross revenue, BeatsbyO’s applicable 12% share is €12,000.
The greater the revenue generated by the release, the greater the amount BeatsbyO is entitled to receive under the 12% royalty arrangement.
5. What Counts as Revenue
For purposes of this policy, gross revenue generated by the release may include, where applicable:
-
Streaming revenue
-
Digital downloads and sales
-
Physical sales
-
YouTube and other platform monetization
-
Licensing revenue
-
Synchronization revenue
-
Performance-related income
-
Social-media monetization
-
Royalties and neighboring rights
-
Revenue received through distributors
-
Revenue received through labels or publishers
-
Revenue received through other third parties
-
Any other revenue directly generated by the release
The 12% royalty is calculated on the gross revenue generated by the release before deduction of the client’s personal expenses, marketing costs, production costs, management fees, or other expenses, unless BeatsbyO agrees otherwise in a separate written agreement.
6. Royalty Reporting & Payment
The client agrees to take reasonable steps to ensure that BeatsbyO receives the agreed 12% royalty from the revenue generated by every release using a BeatsbyO beat.
The client may be required to provide accurate information regarding the release and revenue generated from it when reasonably requested by BeatsbyO.
The client must not intentionally structure, redirect, conceal, or misrepresent revenue for the purpose of avoiding or reducing BeatsbyO’s agreed 12% royalty.
7. No Cap on Royalty Earnings
There is no maximum amount that BeatsbyO can earn from the 12% royalty share.
If a release becomes highly successful and generates substantial revenue, BeatsbyO’s 12% share continues to apply to the revenue generated by that release.
The client’s purchase of a beat does not create a maximum royalty payment or limit BeatsbyO’s entitlement to the agreed 12% share.
8. No Unauthorized Resale or Redistribution
Unless specifically permitted by the purchased license, the client may not:
-
Resell the beat by itself
-
Redistribute the beat to another person
-
Upload the beat as a standalone file to unauthorized platforms
-
Claim the beat as their own original production
-
Transfer the beat or license to another person without permission
-
Register the underlying beat as exclusively owned by the client
-
Use the beat outside the rights granted by the applicable license
9. Client Rights
Clients have the right to use their purchased or licensed beat within the scope of the applicable license.
Clients may create their own song using the beat and release that song according to the applicable license terms.
Nothing in this policy is intended to remove rights that cannot legally be waived under applicable law.
10. Copyright
Purchasing or licensing a beat does not mean that the client becomes the owner of the underlying musical composition, instrumental, production, or associated copyrights belonging to BeatsbyO, except where a separate written agreement explicitly states otherwise.
11. License-Specific Terms
If a specific beat license, invoice, product page, or separate written agreement contains additional or different terms, those terms may apply to the client’s purchase.
Where applicable, the client should retain a copy of their purchase receipt and license for their records.
12. Breach of Terms
Failure to comply with the applicable license, producer-credit requirement, or 12% royalty obligation may constitute a breach of the agreement between the client and BeatsbyO.
Where legally permitted, BeatsbyO may take appropriate action to enforce its rights, including seeking unpaid royalties and other remedies available under applicable law.
13. Acceptance of These Terms
By purchasing, licensing, downloading, or using a BeatsbyO beat, the client acknowledges that they have read, understood, and agreed to the applicable purchase and licensing terms.
Use of a BeatsbyO beat following purchase constitutes acceptance of these terms to the extent permitted by applicable law.
BeatsbyO reserves the right to update these policies and licensing terms when necessary.
